The notice pointed out that since the implementation of the State Grid Corporation Headquarters Contract Management Regulations on June 11, 2003, it has greatly promoted the standardized management of company headquarters contracts and effectively prevented the legal risks of the company headquarters. The "Regulations" state that the contract referred to in these Provisions refers to the contract signed by the general manager of the company or its agent on behalf of the company, including contracts, agreements (books), bidding documents, binding memoranda and so on. The conclusion and performance of the contract shall abide by the laws, administrative regulations and company regulations of the state and shall not harm the interests of the company. This regulation applies to all departments of the company headquarters and internal accounting units.
The "Regulations" state that if a company engages in the following activities within its business management, it must conclude the contract in writing; where the state, industry or company has a standard or model text, it should be given priority.
1. Investment development, construction and operation of power projects and other projects;
2. Purchase and sale of electricity, transmission and grid-connected dispatch;
3. Grid operation and maintenance;
4. Borrowing, lending, securities issuance, listing and other related activities to financial institutions;
5. Guarantee;
6. Asset transfer, use, sale, acquisition, lease, mortgage;
7. Design, construction, installation, supervision, etc. of the project construction;
8. International and domestic equipment, materials and procurement of bulk materials;
9. Technology development, cooperation and transfer of scientific and technological achievements;
10. Technical consulting and technical services;
11. Soft project project research and consulting entrustment business;
12. Preliminary work of the company's investment projects;
13. Engineering construction commission management;
14. Insured;
15. Labor and training;
16. Entrusted audit;
17. Company headquarters information and related equipment management and services;
18. Company image promotion and related entrusted business;
19. Property management and company logistics services;
20. Office equipment, office furniture procurement;
21. Providing labor services;
22. A binding memorandum;
23. Other laws, administrative regulations and company regulations require business management activities that require a written contract.
The "Regulations" include general rules, contract establishment procedures, contract performance, contract modification and dissolution, contract supervision, contract files, power of attorney, contract management of internal accounting units of the company, and a total of nine chapters and ninety-two articles.
